Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the AI Review Responder website and service (the "Service") operated by AI Review Responder ("us", "we", or "our").

1. Acceptance of Terms

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

AI Review Responder is a software-as-a-service (SaaS) platform that uses artificial intelligence, powered by OpenAI's technology, to generate suggested responses to customer reviews. The Service is designed to help businesses respond to reviews on platforms such as Google, Facebook, Yelp, TripAdvisor, and Trustpilot.

Important: AI-generated responses are suggestions only. You are solely responsible for reviewing, editing, and approving all responses before posting them to any platform. We make no guarantees regarding the accuracy, appropriateness, or effectiveness of AI-generated content.

3. User Accounts

To use certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorised use of your account

You may register using your email address and password, or through Google OAuth authentication. We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

4. Subscription Plans and Pricing

We offer the following subscription plans:

• Free Plan: No charge. Includes 10 AI-generated responses per month (25 responses during the first 14 days of account creation as a trial period).
• Starter Plan: £9.99 per month. Includes 50 AI-generated responses per month.
• Pro Plan: £19.99 per month. Includes unlimited AI-generated responses.

All prices are in British Pounds (GBP) and are subject to change. We will provide notice of any price changes before they take effect. Existing subscriptions will be honoured at the current rate until renewal.

5. Billing and Payments

Paid subscriptions are billed monthly in advance. Payments are processed through:

• Stripe: For credit and debit card payments
• PayPal: For PayPal account payments

By subscribing to a paid plan, you authorise us to charge your selected payment method on a recurring basis until you cancel. Subscription renewals are automatic unless cancelled before the next billing date.

If payment fails, we may suspend or terminate your access to paid features. You remain responsible for any uncollected amounts.

6. Cancellation and Refunds

You may cancel your subscription at any time. Upon cancellation, your paid features will remain active until the end of the current billing period, after which your account will revert to the Free Plan.

Refunds are handled in accordance with our Refund & Cancellation Policy, which includes a 30-day money-back guarantee for first-time subscribers.

7. Acceptable Use Policy

You agree not to use the Service to:

• Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Violate any applicable laws, regulations, or third-party rights
• Impersonate any person or entity, or falsely state or misrepresent your affiliation
• Attempt to gain unauthorised access to the Service, other accounts, or computer systems
• Interfere with or disrupt the Service or servers/networks connected to the Service
• Use automated means (bots, scrapers) to access the Service without our express permission
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Resell, sublicense, or provide the Service to third parties without authorisation
• Generate spam, fake reviews, or misleading content

Violation of these terms may result in immediate termination of your account without refund.

8. Intellectual Property

The Service, including its original content, features, and functionality, is owned by AI Review Responder and is protected by international copyright, trademark, and other intellectual property laws.

AI-generated responses created through the Service are provided for your use. You retain ownership of the business information you provide and the final responses you choose to post. However, you grant us a limited licence to process your input data for the purpose of providing the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that: (a) the Service will function uninterrupted or be error-free; (b) defects will be corrected; (c) the Service is free of viruses or harmful components; or (d) the AI-generated content will be accurate, appropriate, or effective for your purposes.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AI REVIEW RESPONDER, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any AI-generated content obtained from the Service
• Unauthorised access, use, or alteration of your transmissions or content

Our total liability to you for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless AI Review Responder and its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you post using AI-generated responses.

12. Third-Party Services

The Service integrates with third-party services including OpenAI (AI processing), Stripe (payment processing), PayPal (payment processing), and Google (authentication). Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party services.

13. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

14. Modifications to Service and Terms

We reserve the right to modify or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

We may revise these Terms from time to time. The most current version will always be posted on this page with an updated "Last updated" date. By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised Terms.

15. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and AI Review Responder regarding your use of the Service and supersede all prior agreements and understandings.
